Ancillary tax obligations such as SPED, EFD, and ECD require companies to digitally submit accounting and tax information to the Receita Federal (Brazil’s Federal Revenue Service), with penalties that can exceed R$ 1.500 for each month of delay.
The Public Digital Bookkeeping System (SPED)
The Public Digital Bookkeeping System (Sistema Público de Escrituração Digital, or SPED) was created by Decree 6.022/2007 as part of the federal government’s Growth Acceleration Program (PAC). SPED unifies the receipt, validation, storage, and authentication of the books and documents that make up a company’s accounting and tax records. It replaces paper documentation with digital files transmitted over the internet.
The system is made up of several modules. The main ones are the Digital Accounting Bookkeeping (ECD), the Digital Tax Bookkeeping for ICMS and IPI (EFD-ICMS/IPI), the Digital Tax Bookkeeping of Contributions (EFD-Contribuições), the Electronic Invoice (NF-e), the Electronic Transport Bill (CT-e), the EFD-Reinf, and the DCTFWeb. Each module serves a specific purpose, has its own filing schedule, and applies to a different group of taxpayers.
SPED applies to most legal entities taxed under the Lucro Real (actual profit) and Lucro Presumido (presumed profit) regimes and, in some cases, to those that have opted into the Simples Nacional (Brazil’s simplified tax regime for small businesses). A company that fails to file its SPED ancillary obligations, or files them late, is subject to penalties that vary by module: from R$ 500,00 to R$ 1.500,00 per month of delay for Lucro Real companies, and R$ 500,00 per month for Lucro Presumido companies, under Article 12 of Law 8.218/1991.
EFD-ICMS/IPI: Tax Bookkeeping for ICMS and IPI
The Digital Tax Bookkeeping for ICMS and IPI (EFD-ICMS/IPI), popularly known as the SPED Fiscal, is the ancillary obligation that replaces paper tax books (the Inbound Register, Outbound Register, ICMS Assessment Register, and IPI Assessment Register) with a monthly digital file transmitted to the SPED environment. The requirement comes from Ajuste SINIEF 02/2009 and covers all ICMS and IPI taxpayers.
The EFD-ICMS/IPI digital file contains detailed information on all inbound and outbound transactions involving goods, transportation and communication services, ICMS and IPI assessments, the goods inventory, and any other information of interest to the state and federal tax authorities. The file is organized into blocks (0, C, D, E, G, H, K, 1, and 9), each with specific records for different types of transactions.
The file must be transmitted every month, by the deadline set in each state’s legislation.
The file must be transmitted every month, by the deadline set in each state’s legislation (generally between the 15th and the 25th of the month following the assessment period). The file is validated by the Validator and Signer Program (PVA), which checks its structure, the consistency of the data, and compliance with the business rules set out in the Practical Guide. Validation errors block transmission and must be fixed before the file is sent. The link between ICMS and the EFD is direct, because the entire assessment of the tax is reflected in this bookkeeping.
ECD: Digital Accounting Bookkeeping
The Digital Accounting Bookkeeping (ECD), also called the SPED Contábil, replaces paper accounting books (the Journal, the Ledger, Trial Balances, and Balance Sheets) with a digital file transmitted to SPED once a year. The requirement is set out in Normative Instruction RFB 2.003/2021 and covers all legal entities taxed under the Lucro Real regime, those taxed under the Lucro Presumido regime that distributed profits above the presumed base, and tax-immune and tax-exempt entities.
The ECD is due by the last business day of June of the year following the calendar year covered by the bookkeeping. The file must be digitally signed by the company’s legal representative and by the accountant in charge, using a Type A1 or A3 digital certificate. After transmission, the ECD is submitted to the Public Registry of Commercial Companies (Junta Comercial), which registers it automatically.
The ECD contains the company’s chart of accounts, the accounting entries for the fiscal year, account balances, the financial statements (Balance Sheet and Income Statement), and any supplementary information required by law. The Receita Federal checks the consistency between the ECD and the Tax Accounting Bookkeeping (ECF), and discrepancies can lead to notices and tax assessments. Correct accounting records are the basis for calculating many taxes, including those that are the subject of tax offsetting.
EFD-Contribuições and Other Digital Obligations
The EFD-Contribuições is the SPED module for the digital bookkeeping of PIS/PASEP, COFINS, and the Social Security Contribution on Gross Revenue (CPRB). The obligation is monthly and covers all legal entities taxed under the Lucro Real and Lucro Presumido regimes, except those that have opted into the Simples Nacional and individual microentrepreneurs. Filing must follow the deadline set in the applicable tax legislation, with the monthly due date tied to the second month after the assessment period.
The EFD-Contribuições file contains detailed information on revenue earned, credits calculated (under the non-cumulative regime), tax bases, rates applied, and the amounts of contributions owed. Its blocks include data from revenue tax documents (block A for services, blocks C and D for goods and transportation), the assessment of the contributions (block M) and, where applicable, the CPRB (block P).
In addition to these obligations, companies must comply with the EFD-Reinf (Digital Tax Bookkeeping of Withholdings and Other Tax Information), which replaced the DIRF starting in 2024 for reporting withholdings of income tax (IR), CSLL, PIS/COFINS, and social security contributions. The DCTFWeb (Statement of Federal Social Security Tax Debits and Credits and of Other Entities) consolidates the information from eSocial and the EFD-Reinf to generate social security payment slips. Complying correctly with these obligations is essential to maintaining the company’s tax compliance status.
Frequently Asked Questions
Which companies must file the SPED Fiscal?
The EFD-ICMS/IPI (SPED Fiscal) is mandatory for all ICMS and IPI taxpayers, regardless of tax regime (Lucro Real, Lucro Presumido, or Simples Nacional, the latter only where state legislation so provides). Each state sets the requirement and publishes the list of obligated taxpayers through an ICMS protocol or a state regulation. In practice, most companies that handle goods are required to file.
What happens if a company does not file the ECD on time?
A company that fails to file the ECD on time is subject to a penalty of 0.5% (Lucro Presumido) or 1.5% (Lucro Real) of the gross revenue for the period covered by the bookkeeping, subject to certain minimum and maximum amounts. Besides the monetary penalty, the absence of accounting records can prevent the company from distributing profits to its partners free of income tax (IR), undermine the offsetting of tax losses, and make it harder to obtain a tax compliance certificate.
How do you correct errors in ancillary obligations that have already been filed?
SPED ancillary obligations are corrected by submitting a replacement file, which cancels the earlier one and fully takes its place. The EFD-ICMS/IPI and the EFD-Contribuições can be corrected with no time limit, as long as no tax audit is under way for the period being corrected. The ECD can be corrected up to the filing deadline for the following fiscal year, unless the Receita Federal authorizes a late correction. The corrected file must be generated in the same validator program used for the original file.
