Excluding ICMS from the PIS and COFINS Tax Base

The exclusion of ICMS from the PIS and COFINS tax base, established by Brazil’s Supreme Federal Court (STF) in Topic 69, continues to produce recoveries and corrections to tax calculations, as long as the company follows the correct step-by-step process for identifying and documenting its credits.

What a company needs to check first

The starting point is to confirm your tax regime. Companies under the actual profit (lucro real) and presumed profit (lucro presumido) regimes that calculate PIS and COFINS on gross revenue are directly covered by the ruling. Companies enrolled in Simples Nacional (Brazil’s simplified tax regime for small businesses) pay through a single unified payment slip and fall outside the framework addressed in Topic 69. This initial check determines whether there is a right to calculate and spares you from spending time on situations the ruling does not cover.

Once you have identified the regime, the second step is to find the filing date of any lawsuit. The modulation of effects set by the Supreme Court limited recovery to taxable events after March 15, 2017, with an exception for taxpayers who had already filed a lawsuit or an administrative request by that date. Those who sued earlier can recover earlier periods; those who filed later are limited to the cutoff date.

The third element is the type of ICMS to be excluded. In the motions for clarification decided on May 13, 2021, the Court established that the amount to be removed from the tax base is the ICMS stated on the invoice, not just the ICMS actually paid. This definition increases the recoverable amount and guides the entire calculation worksheet.

How to gather documentation and calculate the credit

The calculation depends on solid documentary evidence. The taxpayer must organize its outgoing invoices, its Digital Tax Bookkeeping files (EFD ICMS/IPI), its EFD Contribuições files, and the PIS and COFINS payment receipts for the period at issue. These records show the ICMS stated on each transaction, which is why they must be preserved intact throughout the entire review.

With the documents in hand, you recalculate PIS and COFINS without the state tax portion and determine the overpayment, month by month, within the five-year limitation period counted backward. Each amount is adjusted by the Selic rate up to the date of the request, so the final figure reflects the overpayment with interest and inflation adjustment.

Electronic bookkeeping should not be treated as a mere formality. Discrepancies between the ICMS entered in the EFD and the ICMS stated on the invoices are usually the main focus of questions from the Federal Revenue Service, so reconciling them beforehand reduces the risk of disallowance.

Once the amount is set, the company chooses between registering the credit for administrative offset, when there is already a final and unappealable court decision, or filing a new lawsuit to have the right recognized and the overpayment quantified. The administrative offset route requires a final judgment and the filing of the Offset Declaration (Declaração de Compensação), while the judicial route is the path for those who do not yet have an enforceable judgment.

The ruling that the ICMS stated on the invoice, rather than the ICMS paid, is what gets excluded significantly increased the amount companies can recover.

The choice between the two routes depends on the taxpayer’s urgency, the volume of credits, and the expected processing time on each path, and it is advisable to map out the timeline for using the credits before starting the procedure.

This initial check determines whether there is a right to calculate and spares you from spending time on situations the ruling does not cover.

Common mistakes that jeopardize recovery

A frequent mistake is applying the ruling to taxes that were not part of the judgment, assuming it automatically extends to ISS or other contributions. Each exclusion requires its own legal basis and a specific decision, or the company risks a tax assessment.

Another common problem is offsetting credits before the judgment becomes final or without properly registering the credit, which exposes the company to a fine and to collection of the amount improperly offset. The prudent course is to wait until the judgment is final and to register the credit before any offsetting.

Finally, failing to review ancillary tax obligations after the right is recognized creates inconsistencies. The company must adjust its current calculations to exclude the stated ICMS from the outset, avoiding overpayment again and having to repeat the entire recovery procedure in the future.

Frequently Asked Questions

Who can request the exclusion of ICMS from the PIS and COFINS tax base?

Companies taxed under the actual profit or presumed profit regimes that calculate PIS and COFINS on gross revenue can make the request. Companies enrolled in Simples Nacional are not covered, because they pay taxes through a unified system rather than the framework analyzed in Topic 69.

Which ICMS must be removed from the calculation?

It is the ICMS stated on the invoice for each sales transaction, as defined by Brazil’s Supreme Federal Court (STF) when it decided the motions for clarification in May 2021. The tax actually paid is not the only amount considered, which results in a larger recoverable amount.

How far back can you recover overpaid amounts?

Recovery reaches the five years before the date of the request, based on the limitation period that applies to federal taxes. For taxable events before March 15, 2017, recovery depends on a lawsuit or administrative request filed by that date, because of the modulation of effects.
